General Terms and Conditions for the Hotel Accommodation Agreement

I. Scope

1. These terms and conditions apply exclusively to hotel accommodation contracts and all hotel services for the overnight guest. The use of terms and conditions of the guest is expressly contradicted. The validity of the GTC of the guest always requires a corresponding express written agreement.

II. Conclusion of contract

1. Upon a booking request of the guest, a hotel reception contract (hereinafter referred to as "contract") is concluded with the appropriate acceptance of the company. The company is free to accept the request in writing, verbally, in text form (e-mail/ fax) or conclusively through service provision.

2. Contracting parties are the company and the guest. If a third party conducts the booking for the guest, he is liable to the company as purchaser together with the guest as the joint debtor for all obligations in contract, unless the guest confirms in writing or by positive claim of the booked service that the booking was made for him. Irrespective of this, each purchaser is obliged to forward all relevant information, in particular these General Terms and Conditions, to the guest.

3. The subletting or re-letting of the provided rooms and their use for purposes other than accommodation require the prior written consent of the hotel.

III. Services, Prices, Payment

1. The company is obliged to keep the rooms booked by the guest available in accordance with these General Terms and Conditions and to render the agreed services.

2. The guest is obliged to pay the applicable or agreed prices offered by the company for the room rental and the other services used by him. This also applies to the services and expenses incurred by the guest or by the customer vis-à-vis third parties.

3. Unless the parties agree otherwise in writing, the agreed prices include the respective statutory value added tax and service charge. Not included in the prices are any other taxes and public such as visitor's tax, cultural subsidies (so-called "bed tax") i.a. The named charges have to be borne by the guest in addition.

4. The prices may also be changed by the company if the guest subsequently wishes to make changes to the number of booked rooms, the performance of the business or the length of stay booked and the company agrees to this.

5. Company invoices are payable immediately upon receipt without deduction. If, in exceptional cases, invoices are not handed over to the guest on the day of departure, they are deemed to have been received by the invoice recipient at the latest three days after their dispatch, provided that no previous receipt can be proven. The guest is in default at the latest when no payment is issued within 14 days of the due date and receipt of an invoice; this applies to a guest, who is a consumer, only if these consequences are specifically indicated in the invoice. If the customer is in default of payment, the company is entitled to charge default interest of 5% above the base rate to consumers. In business transactions among entrepreneurs, the default interest rate is 8% above the base rate. The company reserves the right to claim higher damages. For each reminder after default, the company may charge a reminder fee of € 10, -.

6. The company is entitled to demand, upon conclusion of the contract or thereafter, a reasonable advance payment or security deposit of up to 100% of the total payment obligation. The amount of the advance payment and its due date can be agreed in writing in the contract. The company is further entitled to demand payment of the claims accrued during the stay of the guest at any time by issuing an interim invoice and to demand immediate payment. Delayed payment of even an interim invoice entitles the company to withhold all further services and to make the fulfillment of the services dependent on a security deposit of up to 100% of the outstanding payment.

7. The guest can only invoice or reduce the claim against a claim of the company with an undisputed or legally established claim.

IV. Resignation of the guest, cancellation, non-use of the services of the hotel

1. The company grants the guest the right of withdrawal at any time. The following provisions apply insofar as the contract does not stipulate otherwise in the individual case:

a) In the case of the resignation of a guest from the booking, the company is entitled to reasonable compensation.

b) The company has the choice to assert a resignation flat-rate to the guest instead of a specifically calculated compensation. The cancellation fee is 90% of the contractually agreed price for overnight stays. The guest is free to prove that the company has no damage or that the damage suffered by the company is lower than the compensation required.

c) Provided the company concretely calculates the indemnity, the amount of the indemnity is limited to the amount of the contractually agreed price for the service to be provided by the company less the value of the expenses saved by the company and what the company acquires by otherwise using the benefits.

2. The above provisions on compensation shall apply mutatis mutandis if the guest does not utilize the booked room or the booked services without informing in time.

3. If the company has granted the guest in the contract an option to withdraw from the contract within a certain period of time without any further legal consequences, the company has no claim for compensation. Decisive for the timeliness of the declaration of withdrawal is their access to the company. The guest must explain the withdrawal in writing. A message by fax or e-mail suffices in this written form.

V. Resignation of the company

1. If the guest has been granted a free right of withdrawal in accordance with section IV paragraph 3, the company is also entitled to withdraw from the contract within the agreed period if inquiries from other guests regarding the booked rooms and the guest on request of the company, the reservation is not finally confirmed.

2. If an advance payment or security deposit agreed in accordance with Section III (6) is not made within a specified period, the company is also entitled to withdraw from the contract.

3. Furthermore, the company is entitled to withdraw from the contract for good cause, in particular if

• Force majeure or other circumstances for which the company is not responsible make performance of the contract impossible; or
• Rooms misleading or misrepresenting material facts, e.g. concerning the person of the guest or the purpose; or
• the company has reasonable cause to believe that the utilization of the company's performance will ensure the smooth operation of the business, jeopardize the safety of UniBoarding Betriebsgesellschaft mbH & Co. • may jeopardize the reputation of the company in the public domain without this being attributable to the company's sphere of control or organization; or
• there is an unauthorized sublease or sublease pursuant to section 2 (3); or
• there is a case in section VI, paragraph 3; or
• the company may become aware of circumstances that the customer's earnings ratios have deteriorated significantly after the conclusion of the agreement, in particular if the guest does not settle any outstanding claims of the company or if it does not provide sufficient security and therefore payment entitlements of the company appear to be at risk; or
• the guest filed a petition for the opening of insolvency proceedings over his assets, submitted an affidavit pursuant to § 807 of the German Code of Civil Procedure, initiated an out-of-court procedure for debt settlement or suspended his payments; or
• insolvency proceedings are opened against the assets of the guest or their opening is refused for lack of assets or otherwise.

4. The company must inform the guest of the right of withdrawal immediately in writing by letter signed by him, a corresponding fax or by email. This written form does not apply to the resignation acc. Para. VI, para. 3.

5. In the aforementioned cases of withdrawal, no claim of the guest for damages arises.

VI. Arrival and departure

1. The guest is not entitled to the provision of certain rooms, unless the company has confirmed the provision of certain rooms in writing.

2. Booked rooms are available to the guest from 15:00 on the agreed arrival day. The guest is not entitled to previous provision unless he has previously agreed this with the company. A message by fax or e-mail suffices in this written form.

3. Booked rooms are to be occupied by the guest at the latest by 6 pm on the agreed arrival day. Unless a later arrival time has been expressly agreed, the company has the right to place booked rooms elsewhere after 18:00 without the guest being entitled to claim compensation. The company has a right of withdrawal in this respect.

4. On the agreed departure day, the rooms must be vacated to the company no later than 10:00 am. Thereafter, the company can charge for the additional use of the room until 18:00 o'clock the Tageszimmemreis beyond the damage resulting from it, from 18:00 o'clock 100% of the full valid Logispreises. The guest is free to prove to the company that no or significantly less damage has been caused to the company.

VII. Liability of the company, statute of limitations

1. In the event of any disruption or defect in the performance of the Company, the Company will seek prompt remedies from the Customer. If the guest culpably omits to report a defect to the company, there is no entitlement to a reduction of the contractually agreed remuneration.

2. The company is liable to the guest in accordance with the statutory provisions for all damages resulting from injury to life, limb and health.

3. Insofar as a limitation of liability is legally permissible, the company shall only be liable for damages caused by slight negligence if these are attributable to the breach of a material contractual obligation in a manner which jeopardizes the purpose of the contract. In these cases, the liability is limited to the foreseeable damage typical for the contract.

4. The above limitation of liability applies to all claims for damages regardless of their legal grounds, including claims arising from tort. The above limitation of liability also applies in cases of any claims for damages of a guest against employees or vicarious agents of the company, it does not apply in cases of liability for a defect after assuming a guarantee for the quality of a thing or a work, fraudulently concealed errors or personal injury.

5. The company is liable for objects introduced by the guest in accordance with the statutory provisions of 55 701 ff. BGB (German Civil Code). The hotel recommends to deposit valuables in the hotel safe. The liability claims expire if the guest does not notify the company in writing immediately after gaining knowledge of loss, destruction or damage. If any damage to the items brought in by the guest has already been determined before leaving the company, he must notify the reception staff immediately.

6. Insofar as the guest is provided with a parking space in the hotel garage or on a hotel car park, also for a fee, no custody agreement is concluded. There is no monitoring obligation of the company. The company is not liable for loss of or damage to motor vehicles parked or shunted on the company property, their contents and live animals unless the company, its legal representatives or its vicarious agents are responsible for intent or gross negligence. In this case, the damage must be claimed against the company at the latest when leaving the company property.

7. Wake-up orders are executed with the utmost care by the company. Claims for damages due to incorrect execution of a wake-up call, except for gross negligence or intent, are excluded.

8. Messages, mail and merchandise for guests are handled with care. The company undertakes the delivery, storage and - on request - for reimbursement of the same and, on request, also for lost property. Claims for damages, except for gross negligence or intent are excluded. The company is entitled to hand over the aforementioned items to the local lost property office after a one-month retention period at the latest, subject to a reasonable fee.

9. Damage claims of the guest become time-barred after three years at the latest from the time at which the guest obtains knowledge of the damage, or at the latest after three years from the time of the damaging event, regardless of this knowledge. The statute of limitations occurs after two years, if the guest has made the booking through an organizer. This does not apply to the liability for damages resulting from injury to life, limb or health as well as for other damages that are based on an intentional and grossly negligent breach of duty by the company, a legal representative or vicarious agent of the company.

VIII. Liability of the guest

The guest is liable to the company for all damages caused by him or by a guest invited by the guest.

IX. Final provisions

1. In addition to these terms and conditions, the separate privacy notices are part of the contract. The company enters the booking data in a central database.

2. Changes or additions to the contract, the acceptance of the application or these terms and conditions for the commencement of business can only be made in writing. Unilateral changes or additions by the customer are invalid.

3. Place of fulfillment and payment is the seat of the company.

4. Exclusive place of jurisdiction - also for check and change disputes - is in the commercial traffic the seat of the enterprise. If a contractual partner does not have a general place of jurisdiction in Germany, the exclusive place of jurisdiction shall be the registered office of the operating company. However, the company is entitled to bring legal actions and other legal proceedings at the general place of jurisdiction of the guest.

5. The law of the Federal Republic of Germany applies.

6. Should individual provisions of these General Terms and Conditions for Business Acceptance be or become invalid or void, this shall not affect the validity of the prevailing provisions. The parties shall immediately replace the ineffective provisions with those effective ones that come as close as possible to the intended purpose and its economic significance. The same applies in the event that there are loopholes in the contract. In addition, the statutory provisions apply.
